These Terms and Conditions govern business transactions between Crestwood Global LLC ("Company", "we", "us") and our customers. By placing an order or engaging in business with us, you agree to these terms.
B2B Notice
Crestwood Global LLC primarily operates as a business-to-business (B2B) supplier. Our products, minimum order quantities, and terms are designed for commercial buyers, distributors, and food manufacturers. Consumer protection regulations may apply differently to B2B transactions.
1. Scope of Services
Crestwood Global LLC provides:
- •Premium IQF (Individually Quick Frozen) fruits and vegetables
- •Fruit concentrates, purées, and freeze-dried products
- •Sourcing services from certified Chinese manufacturers
- •Quality assurance and documentation services
- •Logistics coordination for international shipments
2. Orders and Contracts
All orders are subject to our written confirmation. A binding contract is established when we issue a Proforma Invoice (PI) and receive your deposit payment. Orders may be modified or cancelled only with mutual written consent.
Minimum Order Quantities:
Standard MOQ is one 40-foot container (approximately 25 metric tons). Mixed container loads are available with minimum quantities per product.
3. Pricing and Payment Terms
All prices are quoted in USD unless otherwise specified. Prices are subject to change based on market conditions and currency fluctuations.
Standard Payment Terms:
- •30% deposit upon order confirmation
- •70% balance against copy of Bill of Lading
- •Payment by wire transfer (T/T) or Letter of Credit (L/C)
4. Delivery and Incoterms
Delivery terms are specified in each Proforma Invoice according to Incoterms 2020. Common terms include FOB (Free on Board), CIF (Cost, Insurance, Freight), and CFR (Cost and Freight).
Risk transfers to the buyer according to the agreed Incoterm. Title to goods transfers upon full payment.
Standard lead time is 30-45 days from order confirmation, subject to product availability and shipping schedules.
5. Quality and Claims
All products meet the specifications agreed upon at the time of order. Products are inspected and tested before shipment. Third-party inspection can be arranged upon request.
Claims Procedure:
- •Claims must be submitted in writing within 7 days of delivery
- •Include photographic evidence and independent lab reports where applicable
- •Claims for shortages must be noted on delivery documents
- •We will investigate all claims promptly and propose fair resolution
6. EU Consumer Rights
While Crestwood Global primarily serves business customers, we acknowledge the rights of EU consumers where applicable:
Right of Withdrawal:
For B2B transactions, the 14-day withdrawal right under EU consumer protection law typically does not apply. Business buyers should carefully review specifications before ordering.
Legal Warranty:
Products are warranted to meet agreed specifications at the time of delivery. For perishable goods, warranty is limited to condition at delivery.
7. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, government actions, port closures, or pandemic-related restrictions.
8. Applicable Law and Jurisdiction
These terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to international sales transactions.
Disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or litigation in the courts of Cook County, Illinois.

10. Amendments
We reserve the right to update these Terms and Conditions. Changes will be posted on this page with an updated revision date. Existing contracts remain subject to the terms in effect at the time of order confirmation.
